अनिल अग्रवाल की वेदांता से बड़ी खबर है। यह खबर कंपनी के ट्रस्ट Vedanta Limited ESOS Trust से है। इसमें बड़ा बदलाव हुआ है। और यह बदलाव 1 मई से लागू भी हो गया है। वेदांता लिमिटेड ने 8 मई 2026 को स्टॉक एक्सचेंज में इसकी जानकारी दी। वेदांता के ट्रस्ट में दो नए सदस्यों की नियुक्ति हुई है। यह नियुक्ति दो पूर्व सदस्यों रोहित अग्रवाल और अनुश्री बाफना के इस्तीफे और डीर्मजर के बाद हुई है।
दरअसल, वेदांता लिमिटेड ने अपने कर्मचारियों को शेयर देने की प्रक्रिया को संभालने के लिए 2016 में Vedanta Limited ESOS Trust नाम का एक ट्रस्ट बनाया था। अब इस ट्रस्ट के मूल दस्तावेज में 7वीं बार कुछ बदलाव (Seventh Deed of Variation) किया गया है। कंपनी के अनुसार यह नया बदलाव 1 मई 2026 से लागू माना जाएगा।
यह रणनीतिक कदम कंपनी के हालिया बिजनेस डीमर्जर के बाद उठाया गया है। कंपनी ने नए ट्रस्टी नियुक्त किए हैं और ट्रस्ट डीड में बदलाव किया है, ताकि बची हुई इकाई और नई बनी ‘परिणामी कंपनियों’ (Resulting Companies) में कर्मचारी स्टॉक विकल्प योजनाओं का सुचारू रूप से प्रबंधन सुनिश्चित किया जा सके। यह बदलाव सभी पात्र कर्मचारियों के लिए इक्विटी इंसेंटिव के आर्थिक मूल्य को सुरक्षित रखता है।

वेदांता लिमिटेड ने बताया कि कर्मचारी शेयर (ESOS) ट्रस्ट की मैनेजमेंट टीम में बदलाव किया गया है और पुराने ट्रस्टियों के इस्तीफे के बाद नए ट्रस्टियों को नियुक्त किया गया है और इसकी आधिकारिक जानकारी कानूनी दस्तावेज के जरिए दर्ज की गई है। राहुल अरोड़ा और प्रीत सेठी को ट्रस्ट में नियुक्त किया गया है।
ट्रस्टियो मनमीत सिंह के साथ-साथ नए ट्रस्टियों राहुल अरोड़ा और प्रीत सेठी की नियुक्ति शामिल है।
डीमर्जर के बाद 5 हिस्सों में बंट गई है वेदांता
वेदांता का डीर्मजर हो गया है। कंपनी के 5 हिस्से हों गए हैं। वेदांता एल्यूमीनियम मेटल लिमिटेड, वेदांता ऑयल एंड गैस लिमिटेड, वेदांता आयरन एंड स्टील लिमिटेड, वेदांता पावर लिमिटेड और मेन कंपनी वेदांता लिमिटेड है ही।
ट्रस्ट इन संस्थाओं के लिए इक्विटी शेयरों के द्वितीयक अधिग्रहण की सुविधा प्रदान करेगा, ताकि यह सुनिश्चित हो सके कि डीमर्जर-पूर्व विकल्प प्राप्तकर्ताओं चाहे वे कंपनी में बने रहें या स्थानांतरित हो जाएं के मौजूदा प्रोत्साहनों में कोई कमी न आए।
ट्रस्ट हर योजना का प्रबंधन एक कार्यात्मक रूप से अलग व्यवस्था के तौर पर करेगा, जिससे अलग-अलग कंपनी योजनाओं के बीच संपत्तियों या देनदारियों के आपस में मिलने की स्थिति नहीं बनेगी। ट्रस्ट को संबंधित परिणामी कंपनियों के निदेशक मंडल द्वारा स्वीकृत ऋणों का उपयोग करके सेकेंडरी मार्केट से शेयर खरीदने का अधिकार है।
